Terms of Service

These Terms of Service ("Terms") govern your use of modeum (the "Service"), a multi-tenant CRM and resource-management application for consultancies, operated by Stageleader Ltd (company number 16376742, registered office 3rd Floor, 86-90 Paul Street, London, England, EC2A 4NE), registered in England and Wales ("we", "us", "our"). By accessing or using the Service you agree to these Terms. If you are agreeing on behalf of an organisation, you confirm you have authority to bind it.

1. The Service

modeum lets a consultancy run its work end to end — leads, opportunities, proposals, delivery, timesheets and invoicing — within its own private workspace. The Service is under active development and is provided on an "as is" and "as available" basis. We may add, change or remove features, and will give reasonable notice of material changes.

2. Accounts and access

You are responsible for your account and for keeping your sign-in credentials secure. A workspace administrator is responsible for the people they invite and the access (role) they grant them. You must give accurate account information and tell us promptly of any unauthorised use. You must not access, or attempt to access, any workspace or data that is not yours.

3. Acceptable use

You agree not to: misuse the Service or use it unlawfully; upload content you have no right to, or that is unlawful, harmful or infringing; attempt to breach or probe security, isolation or access controls; reverse engineer, copy, resell or create derivative works from the Service except as the law allows; or use the Service in a way that could damage or overload it.

4. Your data and ownership

You retain all rights in the data and content you put into your workspace ("Customer Data"). We do not claim ownership of it. In respect of Customer Data we act as your data processor and you are the data controller — see our Privacy Policy. A data processing agreement (DPA) is available on request. You are responsible for having a lawful basis for the personal data you enter (including data about your own clients and associates) and for its accuracy.

5. Fees

During early access the Service may be provided free of charge or on terms agreed with you. Where fees apply, they are as set out in your order or arrangement with us and are payable as agreed. We will give reasonable notice before introducing or changing fees for your workspace.

6. Availability and changes

We aim to keep the Service available and reliable, but do not guarantee uninterrupted or error-free operation. We may carry out maintenance, and may suspend the Service where necessary to protect it or comply with the law.

7. Intellectual property

The Service, including its software, design and brand, is owned by Stageleader Ltd and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.

8. Confidentiality

Each party will keep the other's non-public information confidential and use it only to perform under these Terms, except where disclosure is required by law.

9. Disclaimers and liability

To the fullest extent permitted by law, the Service is provided without warranties of any kind, express or implied, including implied warranties of satisfactory quality, fitness for a particular purpose and non-infringement. Nothing in these Terms limits liability that cannot be limited by law (including for death or personal injury caused by negligence, or for fraud). Subject to that, our total liability arising out of or in connection with the Service is limited to the fees you paid us in the 12 months before the claim (or £100 where the Service was provided free), and we are not liable for indirect or consequential loss, or for loss of profit, revenue, goodwill or data.

10. Term and termination

Either party may end your use of the Service on reasonable notice. We may suspend or terminate access immediately for a material breach of these Terms or where required to protect the Service or other users. On termination we will delete Customer Data within a reasonable period; you may request an export of your data before it is deleted.

11. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights you have under local law.
